Terms of Service

This page contains important information about your rights and obligations. If anything here conflicts with rights that cannot be waived under applicable law, those rights apply.
1. Agreement to these Terms
These Terms of Service govern your access to and use of Frobly, including our website, apps, APIs, subscription tracking tools, import/audit features, dashboards, reminders, billing pages, and related services. By creating an account, using Frobly, starting a trial or free feature, or purchasing a paid feature, you agree to these Terms.
If you do not agree, do not use Frobly.
These Terms are between you and Panon Valley LLC, doing business as Frobly ("Frobly," "we," "us," or "our").
2. Important consumer rights notice
Nothing in these Terms limits any rights that cannot legally be limited or waived under applicable law. Some jurisdictions do not allow certain warranty exclusions, liability limits, arbitration clauses, class-action waivers, or refund restrictions. In those cases, the relevant section applies only to the maximum extent permitted by law.
3. What Frobly does
Frobly helps users:
- manually track subscriptions and recurring payments;
- import supported bank/card statements or files;
- identify possible recurring charges;
- review detected subscription candidates;
- organize subscription records;
- receive reminders about renewals or billing dates;
- access billing plans such as Free and Guard.
Frobly is an organizational tool. It is not a bank, payment processor, credit bureau, accountant, financial adviser, lawyer, tax adviser, or subscription cancellation agency.
4. No financial, legal, tax, or banking advice
Frobly does not provide financial, legal, tax, accounting, banking, investment, or credit advice. Any information shown in Frobly is for personal organization and convenience only.
You are responsible for checking your own bank/card accounts, merchant accounts, contracts, invoices, subscriptions, renewal dates, cancellation terms, and payment obligations.
5. Accuracy and audit limitations
Frobly may fail to detect subscriptions, may incorrectly classify transactions, may duplicate or miss recurring charges, may show outdated renewal dates, or may produce incomplete results.
You agree that:
- Frobly does not guarantee that every subscription or recurring charge will be found;
- Frobly does not guarantee that detected subscriptions are active, cancellable, duplicated, fraudulent, or unwanted;
- Frobly does not guarantee savings or refunds;
- Frobly does not guarantee that reminders will be delivered on time or at all;
- you must independently verify all information before acting on it.
6. Frobly does not cancel subscriptions
Unless a specific future feature expressly states otherwise, Frobly does not cancel subscriptions on your behalf. You are responsible for contacting merchants, app stores, banks, card issuers, or service providers directly.
6a. Statement scanning and imports
Frobly can read transactions from a CSV export, a text-based PDF, or — in the Frobly mobile apps — from statement photos, screenshots, or a scanned PDF read on your device. Text recognition and automatic detection are not perfect: rows can be misread, missed, or misclassified.
You review and confirm the extracted transactions before they are analysed, and you confirm each subscription before it is added to your account. Frobly does not guarantee that every charge or recurring subscription is detected, and you remain responsible for verifying the figures against your own statement.
7. Accounts and security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us promptly if you suspect unauthorized access.
You may not use another person's account or financial data without permission.
8. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use Frobly. Frobly is not intended for children.
9. User data and uploads
You may upload or enter subscription information, transaction files, statement data, notes, merchant names, amounts, dates, currencies, and related information.
You represent that you have the right to upload or enter the data you provide. You must not upload:
- data belonging to another person without authorization;
- illegal, harmful, fraudulent, or infringing material;
- payment card security codes, full card numbers, government IDs, passwords, or unnecessary sensitive information;
- malware or files designed to disrupt the service.
You grant Frobly the limited right to process your data only as needed to provide, secure, maintain, improve, and support the service, as described in our Privacy Policy.
10. Paid features and pricing
Frobly offers a free plan and a paid plan called Guard. Guard is a recurring subscription, billed monthly or yearly as you choose at checkout.
- Guard monthly — US$4.99 per month, plus any applicable tax.
- Guard yearly — US$35.88 per year, plus any applicable tax. This is displayed as $2.99/month billed yearly; the amount actually charged is $35.88 once per year, not $2.99 per month.
Prices are tax-exclusive. The amounts above do not include sales tax, VAT, GST, or similar indirect taxes. Any applicable tax is calculated at checkout and added on top of the price, and again on each renewal.
Checkout may present a converted amount in your local currency. The prices configured for Guard are the US dollar amounts above; a converted figure is an estimate produced at checkout, and the exact amount you are charged, including tax, is shown to you before you confirm the purchase.
We may change prices or plan features in the future. Changes to recurring subscription pricing will apply to future billing cycles and will be disclosed as required by law.
10a. Who sells Guard — merchant of record
Panon Valley LLC operates and provides Frobly, and is responsible for the Frobly service itself.
The Guard subscription is sold using Stripe's Managed Payments. For those transactions Stripe, through Link, is the merchant of record. Checkout, your receipts, and your card or bank statement may therefore show that the purchase was "Sold through Link" rather than showing Panon Valley LLC.
For transactions Managed Payments covers, Stripe/Link is responsible for:
- taking and processing the payment, and storing your payment method;
- calculating, collecting and remitting applicable indirect taxes;
- sending receipts, invoices and refund or credit notifications;
- order management and order history;
- fraud screening, chargebacks and payment disputes;
- transaction-level payment support, including refund requests, which are handled by Link support.
Panon Valley LLC does not process card payments and does not receive or hold your card number, card security code, or other payment credentials. Payment details are collected by Stripe on its own hosted checkout page and are held in your Link account.
Frobly remains responsible for the product itself and for product-level support — how the app works, statement imports and audits, reminders, entitlements, and your Frobly account. Questions about the product go to support@frobly.com.
Which transactions Managed Payments covers, in which countries it is available, and which payment methods are offered are determined by Stripe and may change. We do not guarantee availability, tax treatment, or Stripe coverage in any particular country.
11. Automatic renewal, cancellation, and plan changes
Guard is a recurring subscription and renews automatically at the end of each billing period — monthly or yearly, matching the interval you chose — until it is canceled. You are charged the then-current price plus applicable tax at each renewal.
You may cancel at any time: in the Frobly web app under Manage billing, from your Link account, or by contacting billing@frobly.com.
Cancellation normally takes effect at the end of the current billing period. It stops future renewals; it does not automatically refund a charge that has already been processed. Guard normally stays active for the rest of the period you have already paid for.
Guard access can end before the end of a paid period where there is a valid billing state change — for example a full refund of the charge covering the current period, a payment dispute decided against that charge, or a payment that fails or is reversed. See the Refund & Cancellation Policy for what each of those does.
Plan switching is not currently offered. There is no in-place upgrade or downgrade between the monthly and yearly interval on an existing subscription. To change interval, cancel renewal, let the current period end, and subscribe again on the interval you want. A Frobly account holds at most one Guard subscription at a time.
Deleting your Frobly account cancels its Stripe subscription first. If that cancellation cannot be completed, the deletion is refused and your account is left intact, so a deleted account can never leave a recurring charge behind. See the Privacy Policy for what account deletion does to your data.
12. Refunds
Refunds are governed by our Refund Policy. Because Stripe/Link is the merchant of record, Stripe/Link may also issue a refund independently under its own Managed Payments process, and you can raise refund and payment questions with Link support directly. Nothing in the Refund Policy limits rights that cannot be waived under applicable consumer law.
13. Third-party services
Frobly relies on third-party services such as hosting providers, Stripe and Link for payments, authentication providers such as Google and Apple, email providers, and infrastructure services.
Your use of third-party services may be subject to their own terms and privacy policies — including Stripe's and Link's terms for the payment transaction, which you accept at checkout. We are not responsible for third-party services, merchant billing systems, banks, card issuers, app stores, or subscription providers.
14. Google and Apple sign-in
If you choose to sign in using Google or Apple, we may receive account identifiers and basic profile information needed to create and secure your account. Your use of Google or Apple sign-in is also governed by those providers' terms and privacy policies.
15. Acceptable use
You agree not to:
- break the law;
- access or attempt to access accounts, systems, or data without authorization;
- interfere with or disrupt Frobly;
- reverse engineer or scrape the service except where legally permitted;
- upload malware or harmful code;
- abuse free limits, payment systems, refunds, or promotions;
- use Frobly to process data you are not authorized to use;
- resell or commercially exploit Frobly without permission;
- use Frobly for fraud, surveillance, harassment, or unlawful profiling.
16. Service availability and changes
Frobly may change, suspend, limit, or discontinue features at any time. We try to keep the service available, but we do not guarantee uninterrupted or error-free operation.
17. Beta and experimental features
Some features may be labeled beta, preview, experimental, or early access. These features may be incomplete, inaccurate, unstable, or discontinued.
18. Intellectual property
Frobly, including its design, software, logos, branding, text, graphics, and other content, is owned by us or our licensors. You may not copy, modify, distribute, sell, or create derivative works from Frobly except as permitted by law or with our written permission.
19. Feedback
If you send feedback, ideas, bug reports, or suggestions, you grant us permission to use them without restriction or compensation.
20. Disclaimer of warranties
To the maximum extent permitted by law, Frobly is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and reliability.
21. Limitation of liability
To the maximum extent permitted by law, Frobly and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost savings, lost data, business interruption, missed cancellations, missed renewals, overdrafts, late fees, chargebacks, subscription charges, or account issues.
To the maximum extent permitted by law, our total liability for any claim relating to Frobly will not exceed the greater of:
- the amount you paid to Frobly during the 12 months before the event giving rise to the claim; or
- USD $100.
22. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Frobly and its owners, employees, contractors, affiliates, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from:
- your misuse of Frobly;
- your violation of these Terms;
- your violation of law or third-party rights;
- data you upload or provide;
- your use of another person's data without authorization.
23. Termination
We may suspend or terminate your account or access to Frobly if we reasonably believe you violated these Terms, created risk, failed to pay, abused the service, or used Frobly unlawfully.
You may stop using Frobly at any time and may delete your account from the app or request deletion as described in the Privacy Policy. Deleting an account cancels its Guard subscription first (section 11).
24. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, except where mandatory consumer protection laws require otherwise.
25. Dispute resolution (reserved for legal review)
⚠ Confirm with a qualified lawyer for the chosen legal entity/jurisdiction before enabling.
Optional future clause: "Any dispute will be resolved by binding individual arbitration, not in a class or representative action, except where prohibited by law."
Do not enable arbitration/class-action waiver blindly. This section is reserved and not currently active.
26. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will provide notice as appropriate. Continued use of Frobly after changes become effective means you accept the updated Terms.
